Terms of Service

Thanks for choosing Davinci Mechanical. These terms set clear expectations for commercial HVAC, refrigeration, and hot water services, as well as use of our website and DaVinci Portal.

Effective date: November 11, 2025

1) Acceptance

By using this site, accessing the DaVinci Portal, or scheduling service with Davinci Mechanical LLC (“Davinci Mechanical,” “we,” “us,” “our”), you agree to these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2) Services & scope

  • We provide commercial HVAC, refrigeration (including walk-ins and reach-ins), ice machines, and hot water/boiler services, including diagnostics, repair, preventive maintenance, and system replacement/retrofits.
  • Where required, we obtain permits and coordinate inspections. We comply with applicable codes and safety standards. Some municipalities have additional requirements that may impact schedule and cost.
  • The scope for each job is defined in our estimate, work order, or service authorization. Hidden conditions discovered during work may require change orders.

3) Estimates, pricing & payment

  • Unless otherwise stated in writing, services are provided on time-and-materials or quoted project pricing. Any Not-To-Exceed (NTE) limits must be approved in writing by an authorized contact.
  • We will review pricing before proceeding beyond approved scope. Deposits may be required for equipment orders or project work. Special-order parts may be non-cancelable/non-returnable.
  • We accept major credit/debit cards via our secure processor and other forms of payment as agreed. Invoices are due upon receipt unless otherwise stated in writing. Late balances may accrue fees as permitted by law.

4) Scheduling, site access & safety

  • We work to meet requested dates and will communicate promptly about delays (weather, parts, access, or inspection constraints).
  • You agree to provide safe access to equipment and work areas during agreed windows, including necessary keys/badges/escorts, roof access, power/water, and code-required clearances.
  • For food service or healthcare facilities, you agree to notify us of any additional health/sanitation or after-hours requirements before scheduling.

5) Preventive maintenance plans

Our PM Programs (Quarterly, Bi-Annual, and Annual) are described on the Plans page. Plan terms include frequency, included diagnostic fee waivers, included labor hours, and member labor rates for overages. Parts are billed separately. Specific asset counts and location details are documented in your account and may affect scheduling and duration.

6) DaVinci Portal (QR asset records)

The DaVinci Portal provides QR-coded equipment records with photos, technician notes, completed services, and upcoming scheduled work. Access is role-based and restricted to authorized users you designate. You are responsible for managing your users and keeping credentials confidential. We may log access for support and security.

Portal content is provided for operational convenience and recordkeeping. While we strive for accuracy, the Portal is not a substitute for required inspections, manufacturer instructions, or legal compliance obligations at your site.

7) Warranty

Parts carry the manufacturer’s warranty when installed and registered per their requirements. Our workmanship warranty (if any) is stated on the invoice or proposal for your specific job. Warranty does not cover misuse, lack of maintenance, pre-existing issues, or conditions beyond our control (e.g., utility failures, extreme weather, site power/water quality issues).

8) Customer responsibilities

  • Provide accurate information about your sites, access requirements, and equipment.
  • Ensure an authorized decision-maker is available for approvals when required.
  • Follow safety guidance and recommended preventive maintenance to preserve warranty eligibility.

9) Site use

You agree not to misuse our website or the DaVinci Portal (e.g., no scraping, reverse engineering, circumventing access controls, or interfering with operation). Content is provided “as is” for general information and may change without notice.

10) Third-party services

We may link to, embed, or integrate with third-party services (e.g., payment processors, email/SMS providers). Your use of those services is governed by their terms and privacy policies.

11) Disclaimers

Except as expressly stated in a written agreement, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow certain disclaimers—your rights may vary.

12) Limitation of liability

To the fullest extent permitted by law, Davinci Mechanical will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising from your use of the site, the DaVinci Portal, or our services. In no event will our aggregate liability exceed the amount you paid for the specific services giving rise to the claim.

13) Indemnification

You agree to indemnify and hold Davinci Mechanical harmless from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the site or Portal, your breach of these Terms, or your violation of applicable laws or third-party rights.

14) Governing law & venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Exclusive venue lies in the state or federal courts located in Orange County, California, and you consent to their jurisdiction.

15) Changes to these Terms

We may update these Terms as our services or operations evolve. We’ll post the updated effective date at the top of this page. Your continued use constitutes acceptance of the changes.
